1. Acceptance of Terms

By accessing or using any RX Vortex LLC website, applications or services (collectively, the "Services"), you agree to these Terms of Use and our Privacy Policy. If you do not agree, you must not use the Services.

We may modify these Terms at any time in our sole discretion. Changes take effect when posted, and your continued use constitutes acceptance of the revised Terms.

3. Description of Services

RX Vortex LLC provides pharmacy-management software, along with other related products and services. Services may include online applications, downloadable software and support materials.

4. Account Registration

• Certain features require you to register and create an account.
• You agree to provide accurate, current and complete information and to keep it updated.
• You are responsible for safeguarding your password and for all activities under your account.

5. License Grant & Restrictions

• Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.
• You may NOT:
  • ◦ Copy, modify, reverse-engineer or distribute the Services or any part thereof;
  • ◦ Circumvent security mechanisms;
  • ◦ Use the Services to provide a service bureau or otherwise on behalf of third parties;
  • ◦ Remove, obscure or alter any proprietary notices.

• All content, code, designs and materials in the Services are owned by RX Vortex LLC or its licensors and protected by copyright, trademark and other laws.
• No rights are transferred to you except as expressly granted in these Terms.

7. User-Generated Content

• If you submit any content (e.g., feedback, suggestions), you grant RX Vortex LLC a perpetual, irrevocable, royalty-free, worldwide license to use, modify and distribute it.
• You represent that you own or control any content you submit and that it does not violate any law or third-party right.

• THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED (including merchantability, fitness for a particular purpose or non-infringement).
• RX Vortex LLC does not warrant that the Services will be uninterrupted, error-free or completely secure.

10. Limitation of Liability

• TO THE MAXIMUM EXTENT PERMITTED BY LAW, RX VORTEX LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES SHALL NOT EXCEED THE AMOUNT YOU PAID TO RX VORTEX LLC IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

You agree to defend, indemnify and hold harmless RX Vortex LLC, its officers, directors, employees and agents from any claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or your misuse of the Services.

12. Termination

We may suspend or terminate your access at any time, without notice, for any reason, including breach of these Terms. Upon termination, your license ends and you must cease all use of the Services.

13. Governing Law & Dispute Resolution

• These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
• Any dispute arising hereunder shall be resolved exclusively in the state or federal courts located in Comal County, Texas.

14. Export Compliance

You agree to comply with all applicable export laws and regulations in your use of the Services.

15. Entire Agreement

These Terms, together with any documents they incorporate by reference (e.g., your Privacy Policy), constitute the entire agreement between you and RX Vortex LLC regarding the Services and supersede all prior agreements.
